SIASOL MARBELLA S.L. operates under the brand "Acerva" and provides:
- Investment consultation services for Spanish Non-Performing Loans (NPLs)
- Due diligence and asset evaluation services
- Investment opportunity sourcing and structuring
- Legal and regulatory compliance advisory
- Portfolio management and monitoring services
3. Qualified Investors Only
Our services are exclusively available to qualified investors who meet the following criteria:
- Minimum investment capacity of €500,000
- Demonstrated investment experience in real estate or alternative investments
- Understanding of NPL investment risks and complexities
- Compliance with Spanish and EU investor qualification requirements
By using our services, you confirm that you meet these qualification criteria.
4. Investment Risks

- All investments carry risk of partial or total loss of capital
- Past performance does not guarantee future results
- NPL investments are illiquid and may have extended hold periods
- Legal proceedings and recovery processes involve uncertainties
- Market conditions and regulatory changes may affect returns

5. Service Agreement
By engaging our services, you agree to:
- Provide accurate and complete information about your investment profile
- Comply with all applicable laws and regulations
- Maintain confidentiality of proprietary information shared
- Pay agreed fees and expenses in accordance with our fee schedule
- Acknowledge that investment decisions are made at your own discretion
6. Fees and Payment
- Consultation fees are disclosed prior to engagement
- Success fees may apply to completed transactions
- All fees are exclusive of applicable taxes (IVA)
- Payment terms are specified in individual service agreements
- Expenses for due diligence and legal services may be charged separately
7. Intellectual Property
All content, analysis, reports, and proprietary methodologies remain the intellectual property of SIASOL MARBELLA S.L. Clients may not:
- Reproduce or distribute our proprietary materials without written consent
- Use our brand name or trademarks without authorization
- Reverse engineer our analytical methodologies
- Share confidential investment opportunities with third parties
8. Limitation of Liability
To the maximum extent permitted by Spanish law:
- We provide services on an "as-is" basis without warranties
- Our liability is limited to the fees paid for our services
- We are not liable for investment losses or missed opportunities
- Force majeure events excuse performance obligations
- Clients are responsible for their own investment decisions
9. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Investment opportunities and deal structures
- Financial information and client data
- Proprietary analysis and methodologies
- Business strategies and market intelligence
This obligation survives termination of our relationship.
10. Regulatory Compliance
Our services comply with:
- Spanish Securities Market Law (Ley del Mercado de Valores)
- EU MiFID II regulations where applicable
- Anti-Money Laundering (AML) requirements
- General Data Protection Regulation (GDPR)
- Spanish Commercial Code and Civil Code provisions
11. Termination
Either party may terminate services with 30 days written notice. Upon termination:
- All outstanding fees become immediately due
- Confidentiality obligations remain in effect
- Ongoing transactions may be completed at mutual discretion
- Client data will be handled according to our Privacy Policy
12. Dispute Resolution
Any disputes arising from these terms shall be resolved through:
- Good faith negotiation between the parties
- Mediation through the Marbella Chamber of Commerce
- Arbitration under Spanish Arbitration Law if mediation fails
- Spanish courts in Málaga as final jurisdiction
13. Governing Law
These terms are governed by Spanish law. Any legal proceedings shall be conducted in Spanish courts, with jurisdiction in Málaga, Spain.
14. Consumer Rights
If you are a consumer under Spanish law, you retain all rights under the Spanish Consumer Protection Act, including:
- Right to clear and transparent information
- Right to withdraw from distance contracts (where applicable)
- Right to file complaints with consumer protection authorities
- Access to alternative dispute resolution mechanisms
15. Changes to Terms
We may update these terms to reflect changes in our services or legal requirements. Material changes will be communicated via email or website notice at least 30 days in advance.
